An Amateur FA Special General Meeting will take place on Thursday 29th February 2024, 6.30pm.
The Board of Directors propose to adopt new Articles of Association.
The Board have been working with the Amateur FA Council to improve the governance of the Amateur Football Alliance. The Board are working towards meeting the FA's Code of Governance for County FAs (in alignment with Sport England's Code for Sports Governance). This change takes the Amateur Football Alliance Ltd closer to the code.

WRITTEN RESOLUTION of
THE AMATEUR FOOTBALL ALLIANCE LIMITED (Company)
12 February 2024
Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company propose that the following resolution is passed as a special resolution (Resolution).
SPECIAL RESOLUTION
That the draft articles of association attached to this resolution be adopted as the articles of association of the Company in substitution for, and to the exclusion of, the Company's existing articles of association.

If you have any questions or remarks you are welcome as a member to make them at the Special General Meeting.
If you have a question, it would be helpful if you could email in advance to jason.kilby@amateur-fa.com so it can be answered beforehand, or at the meeting.
For the resolution to be adopted the meeting must meet a quorum threshold of 25 members (Clubs and Council members, either in person or by proxy), with at least a 3/4 majority. If you are unable to attend please complete the proxy declaration.
The Special General Meeting will be held in-person and online via Zoom.

3. If you are unable to attend the Special General Meeting, you may appoint a proxy (who need not be a member of the Company) to attend, speak and vote in your place. The appointment of a proxy will not prevent a member from subsequently attending, speaking and voting at the meeting in person, in which case and votes cast by the proxy will be excluded.
4. A Proxy Appointment Form link is attached. If you wish to appoint a proxy this form must be delivered to the Company Secretary by completing the form. The form must arrive by 2.00pm on Thursday 29th February 2024.
